Terms & Conditions

These Terms and Conditions (henceforth referred to as "Agreement") govern your use of the application ("Application") published on Microsoft Appsource ("Appsource") by Wellesley Cove Group (henceforth referred to as "WCG"). By installing, accessing, or using the Application, you agree to be bound by this Agreement. If you do not agree to the terms and conditions outlined in this Agreement, you must not install or use the Application.

1. Application License

1.1 License Grant: Subject to your compliance with the terms and conditions of this Agreement, WCG grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application solely for your internal business purposes, in accordance with the usage rights specified on the Appsource platform.

1.2 Intellectual Property: All intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, in and to the Application, shall remain the exclusive property of WCG and its licensors. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the Application.

 

2. Use of the Application

2.1 Authorized Use: You shall use the Application only in accordance with applicable laws and regulations and in a manner consistent with this Agreement. You are solely responsible for ensuring that your use of the Application complies with any relevant laws or regulations in your jurisdiction.

2.2 Restrictions: You shall not:

(a) Copy, modify, adapt, translate, or create derivative works of the Application;

(b) Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Application, except to the extent expressly permitted by applicable law;

(c) Distribute, sublicense, lease, lend, rent, or otherwise make the Application available to any third party;

(d) Remove, alter, or obscure any proprietary notices or labels on the Application;

(e) Use the Application to develop a competing product or service.

3. Disclaimer of Warranty

3.1 The Application is provided "as is" without warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. WCG does not warrant that the Application will be error-free or uninterrupted, nor does it make any representation regarding the accuracy or reliability of the Application.

4. Limitation of Liability

4.1 In no event shall WCG be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, damages for loss of profits, data, use, or other intangible losses, arising out of or in connection with the use or inability to use the Application, even if WCG has been advised of the possibility of such damages.

5. Termination

5.1 WCG may, at its sole discretion, suspend or terminate your license to use the Application at any time and for any reason, without prior notice. Upon termination, you shall cease all use of the Application and, if requested by WCG, uninstall and remove all copies of the Application from your devices.

6. Governing Law

6.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which WCG is located, without giving effect to its conflict of laws principles. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the competent courts of that jurisdiction.

7. Entire Agreement

7.1 This Agreement constitutes the entire agreement between you and WCG regarding the subject matter hereof and supersedes all prior or contemporaneous understandings and agreements, whether oral or written.

By installing or using the Application, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

If you are accepting this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement.
